Terms of Service (SaaS Agreement)

1. Acceptance of Terms

By creating an account, accessing, or using the MenyoTap Service ("Service"), you ("User," "You," or "Restaurant Owner") agree to be bound by these Terms of Service ("Terms").

1.2 Acceptance

You represent and warrant that:

  • You are at least 18 years old
  • You have the legal capacity to enter into binding contracts
  • You are authorized to bind your business or organization
  • You will comply with all applicable laws and regulations

1.3 Binding Contract

These Terms constitute a legally binding agreement between you and MenyoTap ("Company," "we," "us," or "our"). If you do not agree to these Terms, do not use the Service.

2. Service Description

2.1 What We Provide

MenyoTap is a Software-as-a-Service (SaaS) platform that enables restaurants to create and manage digital menus accessible via QR codes and web addresses. The Service includes:

2.2 Service Modifications

We reserve the right to:

  • Modify, update, or discontinue any feature of the Service
  • Change technical specifications and requirements
  • Add or remove third-party integrations
  • Implement new pricing or plans

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account by:

  1. Providing accurate and complete registration information
  2. Creating a unique restaurant subdomain (e.g., yourname.menyotap.com)
  3. Verifying your email address
  4. Completing your business profile

3.2 Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring your employees and agents comply with these Terms
  • Promptly notifying us of any unauthorized access

3.3 Account Security

You must:

  • Use a strong password and change it regularly
  • Enable two-factor authentication when available
  • Not share your account credentials with third parties
  • Report any security breaches immediately

3.4 Accuracy of Information

You agree to provide accurate, current, and complete information during registration and to update your information as necessary. We reserve the right to suspend or terminate accounts with inaccurate information.

4. Subscription and Payment

4.1 Subscription Plans

We offer subscription plans with different features and limits. Full plan details are available on our pricing page at menyotap.com/pricing.

4.2 Billing

  • Billing Cycle: Subscriptions are billed monthly or annually in advance
  • Payment Methods: Bank transfer (Instapay), credit/debit cards (future)
  • Currency: All prices are in EGP unless otherwise stated
  • Taxes: All prices are exclusive of applicable taxes

4.3 Subscription Changes

  • Upgrades: Take effect immediately, prorated for the remainder of the billing period
  • Downgrades: Take effect at the start of the next billing period
  • Cancellation: See Section 13

4.4 Refunds

  • 7-Day Cooling Off: Full refund available within 7 days of first payment
  • No Refunds: No refunds for partial billing periods or plan downgrades
  • Special Cases: We may issue refunds at our sole discretion

4.5 Failed Payments

If a payment fails:

  1. You will be notified via email
  2. Service will continue for 7 days
  3. After 7 days, Service may be suspended
  4. Reconnection fee may apply after payment

5. Restaurant Content and Data

5.1 Ownership of Your Content

You retain full ownership of all content you upload to the Service, including:

  • Menu items, descriptions, and images
  • Restaurant branding (logos, colors, photos)
  • Category names and organization
  • Branch information and locations

5.2 License to Use Content

You grant us a worldwide, non-exclusive, royalty-free license to:

  • Store and display your content as part of the Service
  • Generate QR codes and menu URLs
  • Use anonymized data for analytics and improvements
  • Backup and secure your content

5.3 Content Responsibility

You are solely responsible for:

  • The accuracy and legality of your content
  • Obtaining necessary licenses for images and media
  • Ensuring content does not violate third-party rights
  • Compliance with advertising and consumer protection laws

5.4 Content Removal

We may remove content that:

  • Violates these Terms or applicable laws
  • Is reported as illegal or infringing
  • Contains harmful or inappropriate material
  • Is associated with a terminated account

6. Acceptable Use

6.1 Permitted Use

You may use the Service only for:

  • Creating and managing your restaurant's digital menu
  • Generating QR codes for your business
  • Enabling customer ordering through your menu

6.2 Prohibited Activities

You must NOT:

6.3 Consequences

Violation of acceptable use may result in:

  • Account suspension (temporary or permanent)
  • Termination without refund
  • Legal action for damages

7. Intellectual Property

7.1 Our Intellectual Property

The Service and all related materials are protected by intellectual property rights:

If you provide feedback, suggestions, or ideas, you grant us unlimited rights to use them. You waive any claims to compensation.

8. Data Privacy

8.1 Data Processing

We process personal data in accordance with our Privacy Policy. By using the Service, you consent to such processing.

8.2 Data Controller Obligations

As a restaurant owner using our Service:

  • You are a data controller for your restaurant's customer data
  • You must comply with applicable data protection laws
  • You must have a privacy policy for your restaurant's menu visitors
  • You must handle data subject requests appropriately

8.3 Data Security

We implement security measures as described in our Privacy Policy. However, no system is completely secure, and we cannot guarantee absolute security.

9. Third-Party Services

10. Service Availability

We strive for high availability but do not guarantee 100% uptime, uninterrupted access, or specific response times.

10.2 Scheduled Maintenance

We may perform scheduled maintenance with advance notice when possible, typically during low-traffic periods. Emergency maintenance may occur without notice.

10.3 Service Disruptions

We are not liable for service disruptions caused by internet provider issues, force majeure events, user actions, or third-party service failures.

11. Limitation of Liability

11.1 Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

11.2 No Warranties

We disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and error-free or uninterrupted service.

11.3 Liability Caps

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

11.4 Excluded Damages

WE SHALL NOT BE LIABLE FOR indirect, incidental, or consequential damages, lost profits, revenue, or data, personal injury or property damage, or costs of delay or lost goodwill.

11.5 Applicability

These limitations apply even if we have been advised of the possibility of such damages and regardless of whether any remedy fails of its essential purpose.

12. Indemnification

12.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless MenyoTap and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses arising from your use of the Service, your content, your violation of these Terms, or your restaurant's operations.

12.2 Defense and Cooperation

You will provide prompt notice of any claims, provide reasonable cooperation in defense, and not settle claims without our consent.

13. Term and Termination

13.1 Term

These Terms remain in effect for as long as you use the Service.

13.2 Termination by You

You may terminate your account at any time by:

  1. Logging into your account settings
  2. Following the cancellation process
  3. Sending a termination request to hi@menyotap.com

13.4 Effects of Termination

  • Access to Service immediately ends
  • Data is deleted within 30 days
  • No refund for current billing period (except as per Section 4.4)
  • Outstanding fees become immediately due

13.5 Survival

The following sections survive termination: Sections 5 (Content), 7 (IP), 11 (Liability), 12 (Indemnification), 15 (Disputes), 16 (General).

14. Changes to Terms

14.1 Notification

We will notify you of material changes via email and in the Service dashboard at least 30 days before changes take effect.

14.2 Acceptance

Continued use after changes constitutes acceptance. If you disagree, you may terminate per Section 13.

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by the laws of Egypt, without regard to conflict of law principles.

15.2 Dispute Resolution

In the event of a dispute:

  1. Negotiation: Parties will attempt to resolve through good-faith negotiation for 30 days
  2. Mediation: If negotiation fails, parties agree to mediation
  3. Arbitration: Claims may be submitted to binding arbitration
  4. Litigation: Claims not resolved by arbitration may be brought in the courts of Egypt

15.3 Class Action Waiver

You agree to resolve disputes individually. You waive any right to participate in class actions or representative proceedings.

16. General Provisions

16.1 Entire Agreement

These Terms constitute the entire agreement between you and us, superseding all prior agreements and understandings.

16.2 Severability

If any provision is found unenforceable, the remaining provisions will remain in full force.

16.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that right.

16.4 Assignment

You may not assign these Terms without our written consent. We may assign them freely.

16.5 Notices

All notices must be in writing and delivered to: hi@menyotap.com (to us) or your registered email address (to you).
